Terms of Service

1. Acceptance of Terms
Agreement
By accessing or using the Armor Tech website (armortech.ai) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or the organisation you represent.
2. Services
Scope of Services
Armor Tech provides software development, AI system design, SaaS platform development, AI automation, RAG-based agentic systems, and related technology consulting services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
Service Changes
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. For ongoing client engagements, any material changes to agreed deliverables will be communicated and require mutual written consent.
Third-Party Tools
Our services may involve the use of third-party platforms, APIs, and tools (e.g. OpenAI, AWS, Google Cloud). Your use of those platforms is subject to their respective terms of service, and Armor Tech is not liable for changes, outages, or policy updates from those providers.
3. Client Responsibilities
Accurate Information
You agree to provide accurate, complete, and up-to-date information required for us to deliver our services. Delays or failures caused by inaccurate or incomplete information provided by the client are not the responsibility of Armor Tech.
Timely Feedback
Successful project delivery depends on timely client feedback, approvals, and access to required systems. Unreasonable delays on the client side may affect project timelines and may result in revised delivery estimates.
Lawful Use
You agree not to use Armor Tech's services or deliverables for any unlawful purpose, including but not limited to fraud, harassment, dissemination of malware, or violation of any applicable laws or regulations.
4. Intellectual Property
Client Ownership
Upon full payment of all agreed fees, Armor Tech assigns to the client all intellectual property rights in the custom deliverables specifically created for that client under the applicable SOW, unless otherwise agreed in writing.
Armor Tech IP
Armor Tech retains ownership of all pre-existing intellectual property, frameworks, tools, libraries, methodologies, and general-purpose code created independently of any specific client engagement. Where such components are incorporated into client deliverables, Armor Tech grants the client a perpetual, non-exclusive licence to use them as part of the delivered product.
Website Content
All content on this website — including text, graphics, logos, images, and software — is the property of Armor Tech and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
5. Payment Terms
Fees
All fees are as agreed in the applicable SOW or proposal. Armor Tech typically requires a deposit before commencing work, with the remainder invoiced at milestones or upon project completion as specified in the agreement.
Late Payment
Invoices are due within the period stated on the invoice. Late payments may result in suspension of work until the outstanding balance is cleared. Armor Tech reserves the right to charge interest on overdue amounts.
Refunds
Deposits are generally non-refundable once work has commenced. Refund eligibility for other payments is subject to the terms of the applicable service agreement and the stage of project completion.
6. Confidentiality
Mutual Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This includes business strategies, technical specifications, client data, and any information marked as confidential.
Exceptions
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or legal process.
7. Limitation of Liability
No Consequential Damages
To the maximum extent permitted by applicable law, Armor Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to our services or this agreement.
Liability Cap
Armor Tech's total liability for any claim arising from a specific engagement shall not exceed the total fees paid by the client for that engagement in the three months preceding the claim.
No Warranty
Our services and website are provided on an 'as is' and 'as available' basis. We make no warranties, express or implied, regarding fitness for a particular purpose, uninterrupted availability, or freedom from errors.
8. Indemnification
Client Indemnity
You agree to indemnify, defend, and hold harmless Armor Tech, its directors, employees, and contractors from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
9. Termination
Termination by Client
You may terminate an engagement at any time by providing written notice. You remain liable for all fees for work completed up to the termination date, plus any non-cancellable costs already incurred.
Termination by Armor Tech
We reserve the right to terminate an engagement or access to our website immediately if you breach these Terms, fail to make payment, or engage in conduct that is unlawful or harmful to our business or reputation.
10. Governing Law
Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Islamabad, Pakistan.
Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
11. Changes to These Terms
Updates
We may revise these Terms of Service at any time. The updated version will be posted on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
